Please read these Terms and Conditions ("Terms") carefully before using the website at westlakesecurities.com (the "Site") or purchasing any products or services offered by Westlake IB LLC, doing business as Westlake Securities ("Westlake Securities," "we," "our," or "us"). By accessing or using the Site, or by purchasing any product or service, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Site immediately.

1. About Westlake Securities

Westlake IB LLC is a Texas limited liability company doing business as Westlake Securities. The firm provides middle-market M&A advisory, capital raises, recapitalizations, and growth strategy services.

Investment Banking Services and Securities are offered through FNEX Capital, LLC, Member of FINRA and SIPC. Westlake Securities is not affiliated with FNEX Capital. Nothing on this Site constitutes an offer or solicitation to buy or sell any security.

2. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others. You agree not to:

• Use the Site in any way that violates applicable local, national, or international law or regulation
• Reproduce, duplicate, copy, sell, or exploit any portion of the Site or its content for commercial purposes without our express written permission
• Transmit any unsolicited or unauthorized advertising, promotional material, or spam
• Attempt to gain unauthorized access to any part of the Site, its servers, or any associated systems

3. Paid Events: Webinars and Masterclasses

Registration and Payment

Westlake Securities offers paid webinars, masterclasses, and other educational events ("Events"). By registering for a paid Event, you agree to pay the applicable fee at the time of registration. All fees are stated in US dollars and are due at the time of purchase unless otherwise specified. Payment is processed through a third-party payment processor, and you agree to their applicable terms of service.

Refund Policy

Refund requests for Events will be considered as follows:

• More than 7 days before the Event: Full refund, less any applicable processing fees.
• Within 7 days of the Event: No refund will be issued, but you may transfer your registration to another individual by notifying us at info@westlakesecurities.com prior to the Event date.
• Cancellation by Westlake Securities: If we cancel an Event, you will receive a full refund of the registration fee. We are not responsible for any other costs you may have incurred in connection with your registration.

All refund requests must be submitted to info@westlakesecurities.com.

Access and Recordings

Access to Events is granted to the registered individual only and may not be shared, transferred, or resold without prior written consent from Westlake Securities. Events may be recorded. By registering and participating, you acknowledge that your participation (including any questions or comments you submit) may be included in a recording.

You may not record, screen-capture, reproduce, distribute, or publicly share Event content without our express written permission.

Educational Nature of Events

All Events are provided for general educational and informational purposes only. Content presented in any Event does not constitute investment advice, legal advice, tax advice, or a solicitation to engage Westlake Securities or any affiliated entity for professional services. Attendees should consult qualified professional advisors before making any business, financial, or legal decisions.

4. Intellectual Property

All content on the Site and delivered through our Events, including but not limited to text, graphics, logos, frameworks (including the Intentional Growth framework, QVG Assessment, and related proprietary materials), presentations, recordings, and other materials (collectively, "Content"), is the property of Westlake IB LLC or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site and Event Content for your own personal, non-commercial purposes. You may not reproduce, modify, distribute, publicly display, create derivative works from, or otherwise exploit any Content without our express written permission.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WESTLAKE SECURITIES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, ANY EVENT, OR ANY CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless Westlake Securities, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or any Event.

8. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by Westlake Securities. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites. We encourage you to review the terms and privacy policies of any third-party sites you visit.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of such courts.

For international users, you acknowledge that the laws of the State of Texas govern these Terms regardless of where you access the Site.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Changes are effective immediately upon posting. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

11. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Westlake Securities with respect to your use of the Site and supersede any prior agreements.
